AERIS TERRA, LLC — PURCHASE TERMS OF USE

WARNING: This constitutes a legally binding agreement with substantial legal consequences. Parties are advised to consult legal and tax counsel.

1. Agreement to Purchase

Buyer agrees to purchase vacant residential land from Aeris Terra, LLC (“Seller”) as identified by its Parcel ID and Legal Description. No real estate broker or agent is involved in this transaction.

2. Sales Price & Payment Options

Aeris Terra offers two payment structures:

Cash Sale — Full purchase price paid upfront. This contract is not contingent on financing. A one-time processing fee is due at signing along with the down payment.

Owner Financing (Terms) — Seller finances a portion of the purchase price via a Promissory Note and Land Sale Contract, secured by the property. A down payment and one-time processing fee are due at signing. Monthly payments include principal, interest, a Note Servicing Fee, and prorated property taxes.

3. Promissory Note (Terms Purchases)

Monthly payments are due 30 days from the contract date.
Payments are applied first to accrued interest, then to late charges, then to principal.
There is no prepayment penalty — the note may be paid off at any time; only interest accrued to the date of payoff will be assessed.
A $25 late fee applies if payment is 5 or more calendar days past due.
Upon default, the interest rate may increase by 5 percentage points above the original rate.
If payment is not received within 35 days past due, Seller will issue a 15-day cure notice. Failure to cure results in contract termination and forfeiture of all payments made.

4. Property Condition

Buyer accepts the property in its “as-is” present condition, having personally inspected it. Seller discloses no knowledge of wetlands, flood plains, hazardous substances, petroleum products, or underground storage tanks on the property.

5. Buyer Guarantee

Cash Contract: A 30-Day Satisfaction Guarantee applies.
Terms Contract: Aeris Terra, LLC provides a 90-Day Inspection Period from the date of down payment. If the buyer is unsatisfied for any reason, Aeris Terra will either exchange the property or refund all monies, minus closing costs, payment fees, and accounting setup fees.

6. Title & Conveyance

Seller conveys title to Buyer via Warranty Deed.
Seller warrants the property is free of all liens and that taxes are current.
The Warranty Deed is held by Seller until the property is paid in full (for Terms purchases).
Upon full payoff, the Warranty Deed will be recorded in the appropriate county within 30 days.
No title report is provided at closing; Buyer may conduct their own title search at their own expense.
If title defects are discovered, Seller will notify Buyer within 5 days of closing, and Buyer may cancel the contract and receive a full refund, accept title as-is, or allow Seller reasonable time to remedy the defect.

7. Closing

Closing shall occur on or before the agreed date, unless extended by written agreement.
Closing may be extended up to 7 days to resolve title objections.
Closing Costs (if using a title company): Attorney/Title Company Fees, Title Insurance, Title Abstract, Appraisal, Survey, and all other closing costs are the responsibility of the Buyer. Recording Fees and Transfer Taxes are paid by the Seller. There is no cost to Buyer when closing directly.

8. Land Use Restrictions (Terms Purchases)

Until the property is paid in full, Buyer may not:

Live on the land
Pull permits
Build any structures
Remove timber beyond what is necessary for placing a dwelling or structure

Buyer must comply with all applicable local and state zoning codes, rules, and ordinances. Buyer must not dump environmentally hazardous waste on the property.

9. Taxes & Prorations

Property taxes are prorated and added to the Buyer’s monthly payment (for Terms purchases). Seller pays property taxes on behalf of Buyer until the property is paid in full and title is conveyed. If county property taxes increase, this will be reflected in the monthly payment.

10. Default

Buyer Default: Seller may enforce specific performance or terminate the contract and retain earnest money as liquidated damages.

Seller Default: Buyer may enforce specific performance or terminate the contract and receive a full refund of earnest money.

The prevailing party in any legal proceeding is entitled to recover all costs and reasonable attorney’s fees from the non-prevailing party.

11. Assignment

This agreement may not be assigned by Buyer without written consent of Seller. Seller may assign this agreement freely. The agreement is binding upon heirs, executors, administrators, successors, and assigns of all parties.

12. Eminent Domain

If the property is condemned by eminent domain after the effective date, Seller and Buyer shall agree to continue, partially continue, or cancel the contract. If no agreement is reached, Buyer is entitled to cancel and receive the down payment back.

13. Governing Law & General Provisions

This contract is governed by the laws of the State of Arizona.
Time is of the essence in all performance obligations.
This contract represents the entire agreement between parties and may only be modified by written consent of both parties.
All notices must be in writing and delivered by mail, hand-delivery, or facsimile.
The contract may be recorded in the applicable official county records.
